1. Acceptance of Terms

By accessing or using the ZyanLabs website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

2. Services

ZyanLabs provides digital growth services including, but not limited to:

• High-performance website design and development (Zyan Core)
• Automated lead generation and WhatsApp automation (Zyan Flow)
• Conversion rate optimisation and growth consulting (Zyan Scale)

The scope, timeline, deliverables, and pricing of any engagement are defined in a separate written agreement or proposal provided to the client prior to commencement of work.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information required for service delivery.
• Review and approve deliverables within agreed timelines.
• Ensure they hold the rights to any content, assets, or materials provided to ZyanLabs.
• Pay invoices in accordance with agreed payment terms.

4. Intellectual Property

Upon receipt of full payment, the client receives ownership of the final deliverables produced specifically for their project. ZyanLabs retains ownership of all pre-existing tools, frameworks, templates, and proprietary methodologies used during delivery.

ZyanLabs reserves the right to reference completed work in its portfolio and marketing materials unless the client requests confidentiality in writing.

5. Payment Terms

Payment terms are specified in each project agreement. Unless otherwise stated:

• A deposit is required before work commences.
• Outstanding balances are due upon project completion or as per agreed milestones.
• Late payments may result in work being paused until settlement.

6. Limitation of Liability

ZyanLabs provides services on a best-efforts basis. We do not guarantee specific business outcomes, revenue increases, or conversion rates. Our liability for any claim arising from a service engagement is limited to the total fees paid by the client for that specific engagement.

ZyanLabs is not liable for indirect, incidental, consequential, or punitive damages of any kind.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement and not to disclose it to third parties without prior written consent, except as required by law.

8. Termination

Either party may terminate an engagement with written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Deposits are non-refundable unless otherwise agreed in writing.

9. Website Use

You agree not to use this website to:

• Transmit unlawful, harmful, or offensive content.
• Attempt to gain unauthorised access to any system or data.
• Engage in any activity that disrupts or interferes with the website's operation.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising from the use of our website or services shall be subject to the exclusive jurisdiction of the courts of India.

11. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. The "Last updated" date will reflect the most recent revision. Continued use of the website constitutes acceptance of the revised terms.
